LAW No. 223 of 02.11.2017 on amending and supplementing certain legislative acts
The social entrepreneurship activity carried out by social enterprises and social integration enterprises is aimed at improving living conditions and providing opportunities for disadvantaged groups of the population by strengthening economic and social cohesion, including at local community level, through employment, by developing social services in the interest of the community, by increasing social inclusion.
Non-commercial organisations (public associations, foundations, religious cults and private institutions), limited liability companies and production cooperatives, carry out social entrepreneurship activity after obtaining the status of social enterprise or social enterprise of insertion under the conditions of Articles 362 and 363 of the Law no. 845/1992 on entrepreneurship and enterprises.
The granting and withdrawal of the status of social enterprise or social integration enterprise shall be carried out by the National Commission for Social Entrepreneurship in accordance with the procedure for examining applications or appeals concerning the granting of the status of social enterprise or social integration enterprise approved by the Government Decision No. 1165 of 28.11.2018 on the approval of the Regulation on the organization and functioning of the National Commission for Social Entrepreneurship and the list of types of activities that constitute social entrepreneurship activities.
In order to obtain or extend the status of social enterprise or social integration enterprise, non-commercial organisations, limited liability companies and production cooperatives shall submit to the Commission a file (in electronic form to the e-mail address: secretariat.comisia.as@mei.gov.md) containing the following documents:
- Model application for award or extension of status;
- Minutes of the general meeting of members or founders approving amendments and/or additions to the articles of association;
- Act of incorporation of the legal entity;
- Confirmation of no debt to the national public budget;
- Copy of the identity card of the applicant’s manager or delegated person;
- Declaration on oath that the applicant fulfils the conditions laid down in Article 363 point 1, if applicable, and point 2 of the Law no. 845/1992 on entrepreneurship and enterprises (Annex no.1 and no.2 to the Regulation on the organization and functioning of the National Commission for Social Entrepreneurship approved by Government Decision no.1165/2018).
The status of social enterprise/social insertion enterprise is granted for a period of 3 years, with the possibility of extension if proof is provided that the conditions on which the status was granted are met, and is obtained from the moment the words „Social enterprise” or „Social insertion enterprise” are entered in the company’s articles of association and in the state register in which the legal entity is registered.
